Should be taken private Not sure I really grasp this but it seems that the 3 shareholders who control 65% are getting very well rewarded for their ongoing support - 30% I believe but they are lending £8m to a coy with a £10m market cap and £4m+ pension deficit.I suspect that without the suport it would be a baset case/bust so best not complain.Feel sorry for any PI who remain invested in what should be a private businessDeep

Scary That in just under 6 weeks RGD has managed to loose a further £3.5M of EBITDA from its forecast to end March 18. Kitchen sink and then some?Deep

Downing strategic micro cap.. This the largest holding of Downing, not a good start.

Re: 2 from 3? I would be very surprised if the dividend did not disappear along with the EBITDA, particularly as the majority [60%] shareholders are effectively having to fund the business.Deep

Re: 2 from 3? And only the first results since they tentatively started paying a dividend - I wonder what the trend with the divi is going to be?

2 from 3? Second profit warning in a month. Is this the new FD being ultra prudent or is warning number 3 due at the end of September as other issues are uncovered.Good news is that should their bank play up as covenants are breached then:"major shareholders, NB Ingredients Ltd, Omnicane International Investors Ltd, and certain funds managed by Downing LLP have confirmed that they will, if required, provide additional funds to support the Company's working capital requirements." Last time I checked the first 2 owned circa 60% of RGD so perhaps this represents the least bad option for themDeep

Re: All Change Anyone know who this Christopher Thomas is?

deepsleeves 08 Aug 2017

All Change Hardly surprising given the chaos of the last several announcements. Odd that the announcement of the departure of the CEO is only just mentioned as a "furthermore" after the departure of the CFO and the appointment of a new non exec.Deep

Re: this was on the 29/06.17 CastlefordDoes make one wonder how "between £5.0M and £5.4M" less £2.3M can become £2M with even this number "subject to final audit"And even these figures are at EBITDA (bullshit) level rather than profit (or loss)Deep

Cheap enough now.... ..... to buy?I'm in again for a bit of bottom-fishing.m

CASTLEFORD TIGER 01 Aug 2017

this was on the 29/06.17 The Company intends to announce Final Results for the Year Ending 31 March 2017 in July and expects to report revenues of approximately £109 million and EBITDA of between £5.0 and £5.4 million,

Phew, sold just in time. Must admit to being lucky with my timing but I would be tempted to describe today's Company Update as a comedy of errors so I think the share price fall of 40% at the time of writing is probably justified. I would suggest that the main hope now would be for wholesale management changes or selling out to another company with more capable management as I am sure some of Real Goods Food's businesses have potential for better growth. I wonder how Brighter Foods is doing.

Re: Decided to sell Pharma,Love the comment on EBITDA bullshit. As regards fund raising, would it not be more normal to do that before making the investmentDeep

pharmaspecialist 05 Jul 2017

Decided to sell Rarely do I sell holdings but I think I might have made a mistake with this company as I have seen little evidence to suggest that management is capable of growing its businesses since I have been a shareholder. The most recent news is that the company is raising more funds, including issuing more shares at the currently depressed share price, in order to fund expansion to achieve its 2018 projected budget. In the accompanying trading update the focus is on revenues and EBITDA rather than profits/losses which worries me somewhat but best of luck to Downing and other investors.
