I Wish I Knew The Answer 16 Oct 2015

Re: Alent buy out "I thought of doing the same, ie sell Alent and buy Platform, when the latter fell below $20. I am now not so sure: when a share nosedives by over 50% in just a few months you need to know why, and I have not been able to get to the bottom of it. It certainly seems to have fallen out of favour for some reason. I wonder if Cevian still have faith in the company."What's swung it for me is Cevian have committed their entire stake in Alent in return for Platform shares (assuming all other shareholders do not also apply in which case it will be pro-rata). I assume they have done a lot of due-diligence as they do in all the companies they invest in. Another major investor in PAH is Bill Ackman of Pershing Square who you can look up his track record on the net which is well up there. Most of all I look at the companies that PAH are acquiring and they are all cash rich high profit entities gained mostly though IP rights which they control. Most of the fall, I believe, has coincided with the stock market fall (as well as a downgrade due to a forecast profits fall) and the price is currently about $13 so I believe well worth a punt at these levels. I invested heavily in Alent due to Cevian's track record so I believe this is another opportunity I can benefit from.Anyone think we will get a final dividend as at the current price little to hold for now?As usual DYOR.

Re: Alent buy out Sold half my holdings @494 and bought into platform (pah) @14.5 which is about 1/2 of price a few months back. Only 1 more regulatory approval to gain by platform. If anyone is thinking of accepting platform shares in lieu of cash the rate will be about 24.5 USD so with the platform shares significantly lower it makes sense to sell alent and buy platform now the price is significantly lower.

Re: Alent buy out I got tired of waiting around for the takeover, specially having lost out on RSA's collapsed takeout, so I cashed in at 496.6p a few days ago and am delighted to have trebled my money on this half of the old Cookson - wonder if Vesuvius will also be taken out one day?

Alent buy out Is there any time scale as to when payment for the shares is expected?

Re: Offer price? Dhaka, the current share price does seem a little bit on the low side - I'm almost tempted to buy more at this level to secure a healthy "guaranteed" capital gain of 20p per share in 6 to 9 months time! There may also be a juicy 6pps dividend at the end of the year (based on my very quick reading of the 57 page document issued on Monday). However the takeover is subject to various conditions - e.g. shareholder approvals and anti-trust approvals - all of which which will no doubt have a negative impact on the current share price. What worries me more at this point is something else I spotted in the announcement: tucked away in para 21 is the bombshell that the transaction is not "currently expected" to qualify for rollover relief, with the effect that shareholders would be treated as disposing of their Alent shares irrespective of whether they take cash or shares.I would like to know what "currently expected" means.....

Offer price? Thought this a done deal, then why hasn't sp reached the offer price 5.03. Usually there is a slight discount but not this much.

Re: Bid Cevian have committed to sell to Platform (by way of new platform shares) so this will go through. We finally discover what their plan was for their investment, well worth the long wait for us holders who have been patient.

sapito 13 Jul 2015

Re: Bid I'm not aware of any other likely predator. My feeling is this is it, the offer we've all been waiting for......the way, there is a PARTIAL share alternative - useful if you don't want to crystallise an immediate taxable capital gain. However, holding US shares - in Platform - may not be appealing to some. Furthermore, if you elect for shares instead of cash, you won't be sure of getting the shares you elect for: if every Alent shareholder elected for shares, you'd only get 21.9% of the value of your shareholding in shares, the remaining 78.1% in cash. In practice, there will be some scaling down of share elections, but unfortunately the exact extent of the scaling down will be uncertain until all the share elections have been counted.
